Name Change in Udyam and GST Registration in West Bengal

Your GST registration and Udyam (MSME) certificate do not hold a name of their own. GST takes the legal name from the PAN, and Udyam checks the owner through Aadhaar and PAN. So when a proprietor's surname changes after marriage, or a firm or company changes its name, the fix starts at Aadhaar and PAN, not at the GST office. This page shows the right order for traders and small businesses in West Bengal, what each portal lets you change, and when a change is really a new registration.

Name Change in Udyam and GST Registration (Quick Answer)

In GST, the legal name comes from PAN, so correct the PAN first, then file a core amendment in Form GST REG-14 within 15 days of the change; the officer has 15 working days to act and the GSTIN stays the same. A trade name can be changed through REG-14 without touching PAN. Udyam is checked through Aadhaar and PAN, so update those first, then the Udyam record. Both portals are free. A new PAN, or a new owner, means a fresh registration, not a name change.

The Basics

Where the Name in GST and Udyam Registration Comes From: PAN and Aadhaar

A GST registration is built on a PAN. The GSTIN itself carries the PAN inside it, and the legal name of the business is the name on that PAN. For a sole proprietor, the PAN is the person's own PAN, so the legal name is the proprietor's name.

A Udyam registration is made with the Aadhaar of the proprietor, the managing partner or the Karta of an HUF, as the Udyam portal explains, and it draws PAN and GST details from government databases.

This is why the order matters. If you change the name on the GST portal while the PAN still shows the old name, the officer has nothing to match it against.

The Udyam portal says registration is free, and that no other website or app is official. Many private sites with Udyam in their name charge for updates that are free on the government portal. Check the address bar before you pay anyone.

Proprietor

Proprietor's Name Change in GST and Udyam After Marriage or a Spelling Mistake

For a proprietorship, the business legal name is the proprietor's PAN name. A woman who takes her husband's surname, or a trader whose PAN carries a wrong spelling, must first fix Aadhaar and then PAN; see PAN name change after marriage and PAN name correction.

A PAN change keeps the same PAN number, so it does not create a new GST registration. Once the new PAN name shows in the income tax records, file REG-14 to amend the legal name.

If Aadhaar and PAN do not agree with each other, sort that out first; see PAN and Aadhaar name mismatch. A full change of name may need a gazette as supporting proof for PAN; see gazette name change in West Bengal.

Firms and Companies

Partnership Firm and Company Name Change in GST and Udyam

A partnership firm that changes its name needs an amended partnership deed signed by all partners, and, if the firm is registered, an update with the Registrar of Firms. Then the firm's PAN is updated, and only then GST and Udyam.

A company changes its name through the Registrar of Companies, which issues a fresh certificate of incorporation in the new name. PAN, GST and Udyam follow that certificate. This is company law work for a company secretary or chartered accountant, not for us.

For an LLP, the process runs through the LLP agreement and the Registrar, and again PAN comes before GST.

GST Amendment

How to Change the Name in GST Registration With Form GST REG-14

Log in to the GST portal, open Amendment of Registration Core Fields, change the legal or trade name, give the reason and the date of change, upload proof and sign with DSC or EVC. Guides say the application should be filed within fifteen days of the change.

Guides also say the officer has 15 working days to approve or ask for clarification, the GSTIN stays the same, and a fresh certificate is issued. Proof depends on the business: the updated PAN for a proprietor, the amended deed for a firm, or the new certificate of incorporation for a company.

Look at the e-invoices and e-way bills you raise after approval. Buyers match your name with your GSTIN, so old letterheads and invoice templates should change too.

Udyam

How to Update the Name in a Udyam Registration Certificate (MSME)

The Udyam portal has an update option that works with the Udyam Registration Number and an OTP sent to the Aadhaar linked mobile. Guides say turnover, investment, address, activity code and contact details can be updated there, and that name fields are restricted because they come from Aadhaar, PAN and GST.

So update Aadhaar, PAN and GST first, then return to Udyam. A July 2024 MSME FAQ also says that for a change in mobile or email on the certificate, you may approach the MSME Development and Facilitation Office of your state; for West Bengal that office is in Kolkata.

The portal says no enterprise may hold more than one Udyam registration, and false information attracts a penalty under the MSMED Act. Never make a second registration just because the name changed.

New Registration

When a Name Change Needs a New GSTIN: PAN Change or New Owner

Guides say a change in PAN needs a fresh GST registration, not an amendment, because the GSTIN is built on the PAN. The same is true when a proprietorship is sold or passed to another person, including after the proprietor's death, since the new owner has a different PAN.

Converting a proprietorship into a firm or company is also a change of PAN, so it is a new registration and a new Udyam registration for the new entity.

If someone tells you to apply for a second PAN to get a new name, refuse. A second PAN is illegal.
