DIN Director Name Change in West Bengal

A company director or LLP designated partner holds a Director Identification Number (DIN) from the Ministry of Corporate Affairs. The name in the DIN record follows the PAN. So when a woman director takes her husband's surname, or a director's name was spelt wrongly, the fix is PAN first, then Form DIR-6 on the MCA portal, then each company's records. DIR-6 has no fee, but a practising CA, CS or CMA must certify it. This page explains the order for directors in Kolkata and across West Bengal.

DIN Director Name Change (Quick Answer)

To change a director's name in the DIN record, first get the new name into PAN, because DIR-6 uses the name as corrected in the income tax PAN database. Then file Form DIR-6 on the MCA portal within 30 days of the change, with proof of the change and identity proof, certified by a practising CA, CS or CMA. Guides say there is no fee. The DIN number stays the same. Then tell every company and LLP where you hold office.

The Basics

DIN and PAN: Why a Director's Name in DIN Must Follow PAN

A Director Identification Number is a lifetime number given by the Ministry of Corporate Affairs to anyone who becomes a director of a company. A designated partner of an LLP holds the same kind of number. You keep the same DIN for life, whatever your name becomes.

Form DIR-6 refers to the name, father's name and date of birth as corrected in the income tax PAN database. So the MCA expects PAN to carry the new name first.

This is why the order matters. If you file DIR-6 while PAN still shows the old name, the form will not match and can be rejected.

For a director, PAN is also the base for GST, IEC and the company's bank mandates; see PAN card name change and name change in Udyam and GST.

DIR-6

How to Change a Director's Name in DIN With Form DIR-6 Within 30 Days

Form DIR-6 is the intimation of a change in particulars of a director or designated partner. A guide notes that it must be filed within 30 days of the change, and that no fee is charged for it.

The form is filed on the MCA portal with the director's DSC and must be certified by a practising Chartered Accountant, Company Secretary or Cost Accountant. That certification is professional work, and the professional will charge for it.

After approval, the DIN record shows the new name. The DIN number itself does not change.

Proof

Proof of Name Change for Form DIR-6: PAN, Gazette or Marriage Certificate

DIR-6 asks for proof of the change in particulars and proof of identity, with PAN compulsory for Indian nationals. A guide also mentions an address proof not older than two months, and translations for papers not in Hindi or English.

For a name change, the usual proof is the PAN in the new name, together with what PAN accepted: a marriage certificate, a gazette notification, or another public document. Ask your CS which documents they will attach.

For a full change of name, a gazette is the strongest proof; see gazette name change in West Bengal. For a spelling correction, an affidavit and the corrected PAN often do; see one and the same person affidavit.

After Marriage

Women Directors: Changing the Surname in DIN After Marriage

A woman director who takes her husband's surname has no legal duty to change it. Many keep their maiden name on the DIN, especially if they sign many company papers. If you do change it, change Aadhaar and PAN first; see PAN name change after marriage.

Then file DIR-6 with the marriage certificate and the new PAN. Note that DIR-6 can also update the father's name field, which some women replace with the husband's name; ask your CS how to fill it so it matches PAN.

If you later divorce and return to your maiden name, the same order applies again.

Company Records

Register of Directors and LLP Records After a DIN Name Change

A DIN name change does not by itself update each company's internal records. Tell every company and LLP where you hold office, so its secretary can update the register of directors and future filings carry the new name.

Companies registered in West Bengal fall under the Registrar of Companies, West Bengal, in Kolkata. Most filings are online now, so you rarely need to visit.

Annual returns, board minutes and resolutions after the change should show the new name. Older documents in the old name stay valid; they are history.

DSC and Bank

New DSC and Bank Mandates After a Director Name Change

Your Digital Signature Certificate carries your name. A DSC in the old name may stop matching your DIN and PAN. Most certifying authorities issue a new DSC rather than editing an old one.

Banks hold your name on the company's account mandate. Give them the board resolution and your new PAN; see name correction in a bank account.

Do this soon after DIR-6, so the company is not stuck when it next has to sign a filing or a cheque.

Not Covered

What Form DIR-6 Does Not Cover: Company Name Change Is Separate

DIR-6 changes a director's personal particulars. It does not rename the company. A company name change is a separate process through the Registrar of Companies, followed by the company's PAN, GST and other registrations.

DIR-6 is also not the form for appointing or removing a director. That is filed by the company, not by the director.

Company law work is for a Company Secretary or CA. We help only with the personal name proof: the affidavit, newspaper notice and gazette.
