Partnership Firm and Partner Name Change in West Bengal

A partnership firm can face three kinds of name change: the firm itself is renamed, a partner's own name changes (often after marriage), or a partner joins, retires or dies. Each is told to the Registrar of Firms, West Bengal under a different section of the Indian Partnership Act, 1932, if the firm is registered. Then the firm's PAN, GST, bank, trade licence and other records follow. This page explains each case in simple words.

Partnership Firm and Partner Name Change (Quick Answer)

For a registered firm in West Bengal, a change in the firm's name is sent to the Registrar of Firms under Section 60 of the Partnership Act, a change in a partner's name or address under Section 62, and a partner joining or leaving under Section 63. A new firm name also needs a supplementary deed signed by all partners. Then update the firm's PAN, GST, bank and trade licence. An unregistered firm has no Registrar step, but its deed and PAN still change. Ask the Registrar for the current alteration fee.

The Basics

Registered or Unregistered Partnership Firm in West Bengal: Why It Matters

In India, registering a partnership firm is optional. In West Bengal, firms are registered with the Registrar of Firms, Societies and Non-Trading Corporations, which now offers online application, payment and certificate. Its procedure note lists a registration fee of Rs 300.

If your firm is registered, the Register must show the correct firm name and partners. If it does not, Section 69 of the Act limits the firm's right to sue, which can hurt in a recovery case.

If your firm was never registered, there is no Registrar step. The partnership deed and the firm's PAN are then its main identity records, so those must change.

Check your registration certificate first. It tells you which office and which number to quote.

Firm Name

How to Change a Partnership Firm Name: Supplementary Deed and Section 60

A firm name is changed by agreement of the partners, written in a supplementary or amended deed signed by all of them, on stamp paper as your advocate advises.

For a registered firm, Section 60 of the Partnership Act says a statement of the alteration, signed and verified, is sent to the Registrar with the fee. The Registrar then amends the entry.

Then update the firm's PAN, so the income tax record shows the new name. After that, GST, Udyam, IEC, the trade licence and FSSAI follow; see name change in Udyam and GST and trade licence name change.

Partner's Name

Partner's Own Name Change After Marriage or Correction: Section 62 Notice

When a partner's own name changes, for example a woman partner who takes her husband's surname, the firm stays the same. Section 62 lets any partner tell the Registrar about the change in a partner's name or address.

The partner should first fix Aadhaar and PAN; see PAN name change after marriage. Keep the marriage certificate or gazette as proof; see gazette name change in West Bengal.

GST lists partners too, so update the partner's details on the GST portal, and give the bank the new KYC for the firm's account mandate.

Partners Change

Partner Joins or Retires: Change in Constitution Under Section 63

A new partner joining, or a partner retiring, changes the constitution of the firm. Section 63 says the Registrar should be given notice of the change.

A new or supplementary deed should record who the partners are now and their shares. A retiring partner should also give public notice, as the Act makes a retiring partner liable to third parties until notice is given.

The firm's PAN usually stays the same when partners change, but GST, bank mandates and licences that list partners need updating.

After a Death

Partner Dies: Is the Firm Dissolved or Continued Under the Deed?

Under the Partnership Act, a firm is dissolved by the death of a partner unless the deed says otherwise. Many deeds say the firm continues with the remaining partners or the heir. Read your deed first.

If the firm continues, record the change in a new deed and give the Registrar notice under Section 63. If it is dissolved, settle accounts and close or transfer each registration.

Disputes between heirs and surviving partners are a lawyer's job. If you cannot afford one, the District Legal Services Authority gives free legal aid to eligible people.

Other Records

After a Firm Name Change: PAN, GST REG-14, Udyam, Bank and Licences

After the deed and Registrar steps, update records in this order: the firm's PAN, then GST through Form REG-14, then Udyam, then the trade licence, FSSAI and IEC where you hold them; see IEC code name change and FSSAI licence name change.

The bank needs the new deed and the Registrar's acknowledgement to rename the current account. Cheques in the old name should be used up or returned.

If the firm owns a trademark, record the new name there too; see trademark name change.

Registrar

The procedure note we found covers new registration only, not the fee for each alteration. Ask the Registrar's office for the current fee and form before you file, and keep the receipt.
